1. Acceptance of Terms
By accessing or using the Ojalogix platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a business, you represent that you have the authority to bind that business to these Terms. If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and Ojamaker Technologies Limited ("Ojalogix," "we," "us," or "our"). Your continued use of the Platform following any updates to these Terms constitutes acceptance of those changes.
2. Description of Service
Ojalogix is a white-label software-as-a-service (SaaS) platform that enables businesses ("Logistics Companies") to launch and operate their own branded delivery and logistics service. Our platform provides: Core Platform Features: - White-label branded logistics websites and mobile applications - Shipment booking, management, and tracking systems - Rider onboarding, assignment, and fleet management - Real-time GPS tracking and route optimization - Payment processing and financial reconciliation - Customer communication and notification systems - Analytics, reporting, and business intelligence - API access for third-party integrations User Types: - Logistics Companies: Businesses that create and manage delivery operations - Riders: Delivery personnel who fulfill shipments - Customers: Individuals or businesses who ship packages Ojalogix is a technology platform provider. We do not directly provide delivery services, employ riders, or take possession of shipments. Logistics Companies are independent operators solely responsible for their delivery operations, rider management, and customer relationships.
3. User Accounts
3.1 Account Registration
To use the Platform, you must create an account by providing accurate, current, and complete information. You agree to update your information as necessary to maintain its accuracy. We reserve the right to suspend or terminate accounts with inaccurate or incomplete information.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You are responsible for all activities that occur under your account. You must immediately notify us at security@ojalogix.com of any unauthorized access or security breach.
3.3 Account Types
Logistics Company Accounts: Used by businesses to create branded logistics platforms, manage riders, process shipments, and handle customer relationships. Logistics Companies have administrative access and bear responsibility for their operations. Rider Accounts: Used by delivery personnel to receive assignments, navigate routes, update delivery status, and communicate with customers. Rider accounts are created and managed by Logistics Companies. Customer Accounts: Used by individuals or businesses to book shipments, track deliveries, and communicate with Logistics Companies. Customer accounts may be managed by individual Logistics Companies on their branded platforms.
4. Logistics Company Responsibilities
As a Logistics Company using our Platform, you are solely responsible for: Operational Compliance: - Obtaining all necessary business licenses, permits, and insurance - Compliance with all applicable transportation and delivery regulations - Compliance with employment and contractor laws in your jurisdiction - Proper classification and treatment of riders (employees vs. contractors) - Maintaining adequate insurance coverage for your operations Rider Management: - Verification of rider identities, backgrounds, and qualifications - Training riders on proper delivery procedures and safety - Ensuring riders have valid licenses and necessary permits - Managing rider compensation, schedules, and performance - Addressing rider conduct issues and customer complaints Customer Relations: - Accurate representation of services, pricing, and delivery times - Fulfillment of shipments according to stated terms - Handling customer inquiries, complaints, and disputes - Processing refunds and claims according to your stated policies - Compliance with consumer protection laws Financial Obligations: - Collecting and remitting applicable taxes - Timely payment of subscription fees and transaction charges - Accurate financial record-keeping - Proper handling of customer payments Prohibited Items Compliance: - Implementing procedures to prevent shipment of prohibited items - Training riders to identify and refuse suspicious packages - Reporting suspected illegal shipments to appropriate authorities Ojalogix is not responsible for any aspect of the relationship between Logistics Companies, Riders, and Customers.
5. Rider Terms
As a Rider using the Platform, you acknowledge and agree to: Account Requirements: - Provide accurate personal information and valid identification - Maintain current and valid delivery credentials (license, permits, etc.) - Use only your own account; never share credentials - Keep your contact information and availability status current Conduct Standards: - Perform deliveries professionally, courteously, and safely - Handle packages with appropriate care to prevent damage - Follow all traffic laws and safety regulations - Communicate promptly with customers and your Logistics Company - Report any issues, delays, or incidents immediately - Never consume alcohol or drugs while performing deliveries Delivery Standards: - Complete assigned deliveries within specified timeframes - Verify recipient identity when required - Obtain proof of delivery (signature, photo) as required - Follow special handling instructions for sensitive packages - Maintain confidentiality of customer information Platform Usage: - Keep the rider application updated and functional - Maintain GPS and location services active during deliveries - Respond promptly to assignment notifications - Update delivery status accurately and in real-time Your relationship with the Logistics Company that engages you is governed by your separate agreement with them. Ojalogix is not your employer and does not control your work schedule, methods, or compensation.
6. Customer Terms
As a Customer using the Platform, you acknowledge and agree to: Shipment Information: - Provide accurate package dimensions, weight, and contents - Declare accurate values for insurance purposes - Provide correct pickup and delivery addresses - Include valid contact information for sender and recipient - Disclose any special handling requirements Prohibited Items: You may NOT ship the following items: - Illegal drugs, controlled substances, or drug paraphernalia - Weapons, firearms, explosives, or ammunition - Hazardous materials, chemicals, or biohazards - Perishable goods without proper arrangements - Cash, negotiable instruments, or bearer documents - Items requiring special permits you do not possess - Stolen goods or items infringing intellectual property rights - Live animals (unless specifically arranged) - Human remains or body parts Shipping prohibited items may result in package seizure, account termination, and legal consequences. Payment Obligations: - Pay all applicable shipping fees, taxes, and surcharges - Provide valid payment information - Accept responsibility for customs duties on international shipments - Pay any additional fees for failed delivery attempts or address corrections Package Preparation: - Package items securely using appropriate materials - Label packages clearly with required information - Ensure packages meet size and weight requirements - Do not over-declare or under-declare package values Receiving Shipments: - Ensure someone is available to receive the package - Inspect packages for damage before signing - Report any issues within 24 hours of delivery
7. Shipment Policies
7.1 Booking and Scheduling
Shipments are booked through the Platform or via Logistics Company websites. Booking confirmation creates a contract between you and the Logistics Company, not Ojalogix. Delivery times are estimates; actual delivery may vary based on conditions beyond our control.
7.2 Tracking
Real-time tracking is provided for all shipments where supported by the Logistics Company. Tracking information is based on rider-reported updates and GPS data. We do not guarantee tracking accuracy and are not liable for discrepancies.
7.3 Delivery Attempts
Delivery policies are set by individual Logistics Companies. Multiple delivery attempts, storage fees, and return procedures vary by provider. Check with your Logistics Company for their specific policies.
7.4 Lost, Damaged, or Delayed Shipments
Claims for lost, damaged, or delayed shipments must be filed with the Logistics Company according to their claims procedures. Ojalogix facilitates communication but is not responsible for shipment outcomes. Insurance and liability limits are determined by the Logistics Company's policies.
7.5 Returns and Cancellations
Return and cancellation policies are set by individual Logistics Companies. Refund eligibility and processing times vary by provider. Contact your Logistics Company directly for returns and cancellations.
8. Prohibited Activities
You may NOT use the Platform to: Illegal Activities: - Violate any applicable laws, regulations, or third-party rights - Facilitate money laundering, terrorist financing, or fraud - Ship prohibited or illegal items - Evade taxes or customs duties - Engage in human trafficking or exploitation Platform Abuse: - Attempt to access accounts or systems without authorization - Distribute malware, viruses, or malicious code - Interfere with Platform operations or security - Circumvent fees, payments, or usage limits - Scrape, crawl, or harvest Platform data without permission - Create fake accounts or misrepresent your identity - Manipulate reviews, ratings, or feedback systems Harmful Conduct: - Harass, threaten, or abuse other users - Discriminate based on protected characteristics - Engage in deceptive or fraudulent business practices - Defame or disparage Ojalogix or other users - Violate intellectual property rights Violation of these prohibitions will result in immediate account suspension or termination and may be reported to law enforcement.
9. Payment Terms
9.1 Subscription Fees (Logistics Companies)
Logistics Companies pay subscription fees according to their chosen plan. Fees are billed in advance on a monthly or annual basis. All fees are quoted in the currency specified and are generally non-refundable except as required by applicable law. Subscription features, limits, and pricing are subject to change. We will provide 30 days notice of material changes to pricing.
9.2 Transaction Fees
Transaction fees may apply as specified in your subscription plan. These may include per-shipment fees, payment processing fees, or percentage-based charges. Third-party payment processor fees are separate and governed by those providers' terms.
9.3 Rider Payouts
Rider compensation is determined and processed by Logistics Companies, not Ojalogix. We provide payout infrastructure but are not responsible for compensation disputes between Logistics Companies and Riders.
9.4 Customer Payments
Customers pay Logistics Companies for shipping services. Payment terms, methods, and processing are handled by individual Logistics Companies. Ojalogix is not responsible for payment disputes between Customers and Logistics Companies.
9.5 Refunds
Refund policies for shipping services are set by individual Logistics Companies. For Ojalogix subscription refunds, contact support@ojalogix.com. Pro-rata refunds may be available for annual subscriptions cancelled within 30 days.
10. Intellectual Property
10.1 Ojalogix Intellectual Property
The Platform, including its design, code, features, trademarks, logos, and content, is owned by Ojamaker Technologies Limited and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works without our express written permission. The Ojalogix name, logo, and related marks are trademarks of Ojamaker Technologies Limited.
10.2 Your Content and Branding
You retain ownership of content you upload to the Platform (logos, images, text, etc.). By uploading content, you grant Ojalogix a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for operating the Platform. You represent that you have all rights necessary to grant this license and that your content does not infringe third-party rights.
10.3 White-Label Rights
Your subscription grants you a limited, non-exclusive license to use the Platform with your branding. This license does not transfer ownership of the underlying technology. The license terminates upon subscription cancellation.
10.4 Feedback
If you provide suggestions, ideas, or feedback about the Platform, you grant us the right to use such feedback without restriction or compensation.
11. Privacy
Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, available at ojalogix.com/privacy. By using the Platform, you consent to our data practices as described in the Privacy Policy. Logistics Companies are responsible for their own privacy practices and compliance with applicable data protection laws regarding their Riders and Customers.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: - IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE - WARRANTIES OF NON-INFRINGEMENT - WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE - WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT OR DATA - WARRANTIES REGARDING THE TIMELINESS OR SUCCESS OF DELIVERIES - WARRANTIES REGARDING THE CONDUCT OF RIDERS OR LOGISTICS COMPANIES - WARRANTIES REGARDING THIRD-PARTY SERVICES OR INTEGRATIONS WE DO NOT WARRANT, ENDORSE, OR ASSUME RESPONSIBILITY FOR ANY LOGISTICS COMPANIES, RIDERS, OR SERVICES OFFERED THROUGH THE PLATFORM. DELIVERY SERVICES ARE PROVIDED BY INDEPENDENT LOGISTICS COMPANIES, NOT OJALOGIX. WE MAKE NO WARRANTIES REGARDING THE QUALITY, SAFETY, OR RELIABILITY OF SUCH SERVICES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: OJALOGIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: - Loss of profits, revenue, business, or goodwill - Loss of data or information - Loss of or damage to shipments - Personal injury or property damage - Service interruptions or downtime - Actions or omissions of Logistics Companies, Riders, or Customers - Third-party service failures - Events beyond our reasonable control IN NO EVENT SHALL OJALOGIX'S TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU TO OJALOGIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED THOUSAND NAIRA (NGN 100,000) OR EQUIVALENT IN YOUR LOCAL CURRENCY THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless Ojalogix, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: - Your use of the Platform - Your violation of these Terms - Your violation of any third-party rights - Your violation of any applicable laws or regulations - Services you provide through the Platform (for Logistics Companies and Riders) - Shipments you book or receive (for Customers) - Disputes between you and other users - Your content or branding materials - Your employment or contractor relationships (for Logistics Companies) - Any claims by Riders, Customers, or third parties related to your operations This indemnification obligation survives termination of these Terms and your use of the Platform.
15. Termination
15.1 Termination by You
You may terminate your account at any time through the Platform settings or by contacting support@ojalogix.com. Termination does not entitle you to a refund of prepaid fees except as specified in these Terms.
15.2 Termination by Ojalogix
We may suspend or terminate your account immediately, without prior notice, for any reason, including but not limited to: - Violation of these Terms or our policies - Violation of prohibited activities or content policies - Fraudulent, illegal, or harmful activity - Non-payment of fees - Extended period of inactivity - Risk to Platform security or other users - Request by law enforcement or government agencies - Discontinuation of the Platform or features
15.3 Effect of Termination
Upon termination: - Your right to use the Platform ceases immediately - Your data may be deleted after a retention period - Outstanding fees remain payable - Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability
16. Dispute Resolution
16.1 Disputes Between Users
Ojalogix is not a party to and is not responsible for disputes between Logistics Companies, Riders, and Customers. Such disputes must be resolved directly between the parties involved. We may, at our sole discretion, provide dispute resolution tools or assistance, but are under no obligation to do so.
16.2 Disputes With Ojalogix
Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation by contacting legal@ojalogix.com. If negotiation fails within 30 days, the dispute shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act. You agree to resolve disputes on an individual basis. Class actions, collective actions, and representative actions are not permitted.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by: - Posting the updated Terms on the Platform - Updating the "Last updated" date at the top of this page - Sending email notification for material changes - Displaying a prominent notice within the Platform Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform. We encourage you to review these Terms periodically for updates.
18. General Provisions
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ojalogix regarding the Platform. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria, for the resolution of any disputes not subject to arbitration. Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, pandemics, government actions, or service provider failures. No Agency: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Ojalogix. Headings: Section headings are for convenience only and do not affect interpretation.
